Okos Smart Homes, Inc. ("Okos", "Company", "we", "us", or "our") provides these Terms of Service ("Terms") to govern your access to and use of the Okos website at https://okos.ca, the Okos Platform, and all related enterprise physical security deployment services, including deployment, engineering, coordination, compliance, and close-out services (collectively, the "Services"). These Terms form a binding legal agreement between you and the Company.

Changes to the Terms of Service. Okos reserves the right to update or modify these Terms at any time. The most recent version of the Terms is indicated by the date at the top of this page. Where a revision is material, we will use commercially reasonable efforts to provide at least thirty (30) days' notice via the Services or email prior to the new Terms taking effect. By continuing to access or use our Services after any changes become effective, you agree to be bound by the revised Terms. If you do not agree to the revised Terms, you must discontinue your use of the Services immediately.

Acceptance and Eligibility

By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. You represent and warrant that you are at least 18 years of age (or the age of majority in your province, state, or territory of residence, whichever is greater) and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a company, integrator, manufacturer, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

Definitions

For the purposes of these Terms of Service:

  • Account: A unique account created for You to access our Services or specific features of our platform.
  • Company: Refers to Okos Smart Homes, Inc., headquartered at #1440 333 11 Avenue SW, Calgary, AB, T2R 0C5, Canada.
  • Content: Refers to text, images, or other information that can be posted, uploaded, linked to, or otherwise made available by You.
  • Device: Means any device that can access the Services, such as a computer, cellphone, or digital tablet.
  • Services: Refers to the Website, software platforms, and all associated enterprise physical security deployment services provided by the Company.
  • Website: Refers to Okos, accessible from https://okos.ca.
  • You / Customer: Means the individual accessing or using the Services, or the company or legal entity on behalf of which such individual is accessing or using the Services.

Use of the Services

Permitted Use

You may use our Services for lawful purposes only and in accordance with these Terms.

Prohibited Activities and Customer Obligations

Without limiting the generality of the foregoing, the Customer hereby acknowledges, agrees, represents, and warrants that they will not engage in any of the following activities:

  1. Unlawful Usage: Engaging in any activity that violates applicable federal, provincial, state, local, or international laws or regulations.
  2. Rights Infringement: Infringing on the Company’s or any third party’s rights, including intellectual property, property, and privacy rights.
  3. Authentic Representation: Impersonating or attempting to impersonate the Company, a Company employee, another user, or any other person or entity.
  4. System Interference: Using any robot, spider, manual process, or other automatic device to access the Services for unauthorized purposes, including monitoring or copying material without consent.
  5. Malicious Materials: Introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  6. Disruption: Attempting to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, its servers, or connected databases.

Intellectual Property

The Services and original content (excluding User Content), features, and functionality are and will remain the exclusive property of Okos Smart Homes, Inc. and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, or transmit any of the material on our Services, except as explicitly permitted by these Terms.

User Accounts

When you create an account, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account. You are responsible for safeguarding your password and for any activities under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall the Company, its affiliates, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to, use of, or inability to access or use the Services;
  • Any conduct or content of any third party on the Services;
  • Any content obtained from the Services; or
  • Unauthorized access, use, or alteration of your transmissions or content.

Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Calgary, Alberta.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will cease immediately.
